Paydoly Terms and Conditions

Thank you for choosing Paydoly. These Terms and Conditions
(the "Terms") constitute a legally binding agreement between
you (the user) and Paydoly ("Company", "we", "us", or "our")
regarding your use of Paydoly’s services, website, and
applications (collectively, the "Services"). By accessing or
using our Services, you acknowledge that you have read,
understood, and agree to be bound by these Terms, as well as
our Privacy Policy and any other policies referenced herein.
If you do not agree with these Terms, you must not use the
Services.
1. Introduction
About Paydoly: Paydoly is a secure online
payment and money transfer platform that allows personal and
business users to send, receive, and manage funds in multiple
currencies easily and safely. These Terms govern all aspects
of your access to and use of the Services. By using Paydoly,
you agree to comply with these Terms and all applicable laws
and regulations.
Definitions: In these Terms, "you" or "User"
refers to the individual or entity using the Services. If you
are using the Services on behalf of a business or other
organization, you represent that you have authority to bind
that entity to these Terms, and "you" will also refer to that
entity. "Paydoly", "we", or "us" refers to Paydoly Inc. and
its affiliates. Other capitalized terms may be defined within
these Terms.
2. Account Registration and Eligibility
To use our Services, you must create a Paydoly account. You
agree to provide truthful, accurate, and complete information
during registration and to keep your account information
updated at all times.

Eligibility: You must be at least 18 years
old (or the age of majority in your jurisdiction) and
capable of entering into a legally binding contract to use
Paydoly. Users under 18 (if any) may only use the Services
with verifiable parental or legal guardian consent, as
permitted by us and by law.

Business Accounts: If you open an account
on behalf of a company or other legal entity, you represent
and warrant that you have the authority to bind that entity
to these Terms and that the entity is duly organized and in
good standing under applicable law. Such accounts must be
used solely for business purposes.

Account Information: All information you
provide during signup and in your account must be accurate,
current, and complete. This includes your name, contact
information, payment information, and any identity
verification documents we may request. You agree to promptly
update your account details if they change. You are
responsible for the accuracy of the information you provide;
we will not be liable for any issues (including misdirected
funds) arising from errors in the information you supply.

Identity Verification: You authorize
Paydoly to verify your identity and eligibility at any time.
We may require you to provide additional information or
documentation (e.g. government issued ID, proof of address,
or business documentation) and may make inquiries via third
parties (such as identity verification services, credit
bureaus, or other databases) to confirm your identity and
manage risk. If you do not provide or confirm required
information, we may suspend or terminate your account.

Account Security: You are responsible for
maintaining the confidentiality of your account login
credentials (username, password, and any two factor
authentication codes) and for all activities that occur
under your account. Do not share your password or secure
access to your account with anyone. If you suspect any
unauthorized access or breach of your account, you must
notify us immediately. Paydoly will not ask you for your
password via email or phone.
3. Services and Permissible Use
Paydoly provides an online platform for peer to peer and
business payments, transfers, and related financial services.
By using the Services, you agree to use them only for their
intended and lawful purposes.

Permitted Uses: You may use our Services
only for lawful purposes and in compliance with these Terms
and applicable policies. This means you can send or receive
payments, manage your digital wallet, and use other features
as intended by Paydoly for personal or internal business
needs.

Prohibited Uses: You may NOT use Paydoly
for any unlawful, fraudulent, or unauthorized purpose. This
includes (but is not limited to) engaging in or
facilitating: money laundering, terrorism financing, fraud,
scam activities, drug or human trafficking, gambling
services (where restricted), the sale of illegal or
counterfeit goods, pornography or exploitation, intellectual
property infringement, or any activity that violates any law
or regulation. You also may not use the Services in a manner
that could harm Paydoly or any third party, or that
interferes with the normal functioning of the Services (for
example, by distributing viruses, performing hacking or
denial of service attacks, or circumventing security
measures). We reserve the right to screen, monitor, and
investigate transactions for compliance purposes.

Compliance with Laws: You agree to comply
with all applicable laws and regulations in connection with
your use of the Services. This includes laws and regulations
on financial services, anti money laundering (AML), know
your customer (KYC) requirements, anti fraud, and economic
sanctions. You represent that you are not on any government
sanctions list and are not using the Services in a country
or region that is embargoed or prohibited by law. We may
report suspicious activities to the relevant authorities as
required by law.

Restricted and Unavailable Jurisdictions:
Paydoly may restrict or prohibit access to the Services in
certain countries or regions in order to comply with legal
requirements. You agree not to use Paydoly if you are
located in a jurisdiction where such use would violate local
law or expose Paydoly to legal liability.
4. Payments, Fees, and Currency Conversion
By initiating any payment or money transfer through Paydoly,
you authorize us to process the transaction and debit or
credit your linked payment instrument or Paydoly balance as
necessary. All transactions are subject to these Terms and any
additional terms presented in the interface at the time of the
transaction.

Fees: Paydoly is committed to low fees and
transparency. Some basic services may be offered with no or
zero fees, but certain transactions or advanced services may
incur fees. You agree to pay all applicable fees associated
with your use of our Services, as described on our website
or mobile app, or disclosed to you at the time of the
transaction. Any fees will be clearly presented to you
before you confirm a transaction. We promise no hidden fees:
what you see is what you pay. However, we reserve the right
to introduce new fees or change existing fee amounts in the
future. If we do so, we will provide you with notice in
accordance with Section 13 (Changes to Terms). In general,
if fees change, we will notify you in advance (e.g., via
email or through the Service) and such changes will apply
prospectively.

Currency Exchange: If you send or receive
money in a currency different from your account’s primary
currency, Paydoly will handle the currency conversion. We
aim to offer competitive exchange rates. The applicable
exchange rate will be disclosed to you at the time of the
transaction (for example, when you set up a transfer and
choose the currency). You acknowledge that exchange rates
fluctuate and may change between the time you initiate a
transaction and the time it is processed, though we will
endeavor to use the rate as quoted at the initiation if the
transaction is completed promptly. In some cases, currency
conversions might include a small markup or fee (which will
be included in the rate shown to you). By proceeding with a
transaction involving currency conversion, you accept the
exchange rate offered. We are not responsible for any loss
due to currency value fluctuations.

Billing and Payment Methods: When you fund
a transfer or payment, you may do so via your Paydoly wallet
balance, bank account, credit or debit card, or other
payment methods we support. Payment method and billing
details are confirmed during account setup or at the time of
transaction. You authorize Paydoly (and our authorized
payment processors) to charge your chosen payment method for
any amounts that you owe (such as transfer amounts, fees, or
any other amounts due under these Terms). If we offer
service plans or tiers, the billing terms for those plans
will be as specified at signup.

Third Party Charges: Paydoly is not
responsible for any fees or charges imposed by third parties
in connection with your transactions. For example, your bank
or card issuer may charge fees (such as cash advance fees,
foreign transaction fees, or overdraft fees) if applicable.
Also, when you send money to someone’s bank account, the
recipient’s bank or intermediary banks might levy their own
fees, which are outside of our control. You may also incur
data or messaging charges from your mobile carrier while
using our app. All such third party fees are your
responsibility.

Taxes: It is your responsibility to
determine what taxes, if any, apply to payments or transfers
you make or receive, and to collect, report, and remit the
correct tax to the appropriate tax authority. Paydoly does
not automatically calculate or withhold taxes on
transactions since the platform is generally used for
personal remittances and business payments that do not
involve the sale of goods or services by Paydoly. However,
if we are required by law to collect VAT, sales tax, or any
other taxes or governmental fees, we reserve the right to
add such amounts to the fees charged to you or to withhold
such amounts from payouts, as applicable. We will clearly
indicate when any tax is being collected by us. You agree
that Paydoly is not providing tax advice and you should
consult your own tax advisor if you have questions about tax
obligations.
5. Transactions and Limitations

Transaction Execution: After you submit a
transfer or payment request, we will attempt to execute it
promptly. Most Paydoly peer to peer transfers occur
instantly or within minutes. However, external transfers
(like to a bank account or card) may take longer to settle
depending on banking hours, weekends or holidays, or the
processing times of our partner financial institutions. We
make no guarantee that transfers will be completed within a
specific timeframe and are not liable for delays outside our
control (for example, delays caused by downstream banks or
compliance checks). We will notify you through the app or
via email if we become aware of an unusual delay or issue
with your transaction.

Transaction Limits: For security,
compliance, and risk management reasons, Paydoly may set
limits on the amount and frequency of transactions you can
send or receive. These limits may be per transaction, per
day, per month, or other intervals, and may vary based on
factors such as your account history, verification status,
and legal requirements. Some limits may be displayed in your
account or FAQs (for instance, certain currency exchange
transactions may have caps). We reserve the right to modify
these limits from time to time, with or without prior
notice. If you attempt a transaction that exceeds your
current limit, we may decline it and notify you that a limit
has been reached. You can contact us to request a higher
limit, but approvals are at our discretion and may require
additional verification.

Accuracy of Recipient Information: When you
send money, you must provide correct details for the
recipient (such as the recipient’s email, phone number,
Paydoly account ID, or bank account information). You are
solely responsible for verifying the accuracy of the
recipient information before completing a transaction.
Paydoly does not verify that the recipient details you
entered correspond to your intended recipient. If you send
funds to the wrong account due to a typo or incorrect
information provided, we cannot guarantee recovery of those
funds. Always double check the recipient’s details that you
enter.

Irrevocable Transfers: In general, once a
payment or transfer is submitted and processed by Paydoly,
it cannot be canceled or refunded. You acknowledge that
Paydoly transactions are typically final and that we may not
be able to reverse or cancel a transaction upon your
request. Please verify transaction details carefully before
submission.

Right to Block or Reverse Transactions:
Paydoly reserves the right to block, hold, or reverse
transactions that we believe may be fraudulent,
unauthorized, illegal, or in violation of these Terms or any
applicable law. We may also reverse transactions if required
by court order, regulator, or law enforcement, or to correct
errors. We will attempt to notify you if we take such
action, unless prohibited by law.

Funding and Sufficient Balance: You are
responsible for ensuring you have sufficient funds or credit
in your selected payment method to cover the total cost of
any transfer or payment, including fees. If your account
balance or payment method does not have enough funds to
cover a transaction, the transaction may fail or overdraft
charges may apply from your bank or card issuer. Paydoly is
not responsible for any insufficient funds or overdraft fees
charged by third parties.

Receipts and Transaction History: Paydoly
provides electronic receipts and transaction histories via
your account dashboard. You agree to review transaction
details promptly and to report any discrepancies or
unauthorized transactions to us immediately. Your
transaction history is stored electronically and can be
downloaded or exported for your records. We may retain
transaction records as required by law or for legitimate
business purposes.
6. User Responsibilities and Obligations

Account Security and Use: You are solely
responsible for safeguarding your account credentials and
for any activities conducted through your account. Do not
share your login information or allow others to use your
account. You must immediately notify us of any unauthorized
access or suspicious activity.

Up to Date Information: You agree to keep
your contact and payment information up to date. Failure to
keep your details current may result in transaction delays
or the inability to receive important notifications.

Compliance and Cooperation: You will
cooperate with any requests from Paydoly or regulatory
authorities related to your use of the Services, such as
verifying your identity, providing documentation, or
answering questions. Cooperation helps ensure compliance
with applicable laws and promotes a secure and trustworthy
platform.

Third Party Agreements: Your use of the
Services may be subject to additional terms, conditions, or
policies from third parties (such as your bank, card issuer,
or mobile carrier). It is your responsibility to comply with
those agreements. Paydoly is not a party to any agreements
between you and third party providers.

Prohibited Activities: You will not engage
in activities that violate these Terms, including
intellectual property infringement, misrepresentation of
identity, creating multiple accounts to evade limits or
restrictions, using automated scripts or bots to access the
Service, distributing malware or harmful code, or harassing
or abusing other users.

Notifications and Communication: You
consent to receive electronic communications from Paydoly
regarding your account, transactions, and updates. We may
also send you marketing communications, but you can opt out
of those separately. You are responsible for monitoring your
email, in app messages, and account notifications for
important updates.
7. Intellectual Property

Ownership: All content, design elements,
trademarks, logos, and other intellectual property related
to the Services are owned by Paydoly or its licensors. You
acknowledge that you acquire no ownership rights by using
the Services.

License to You: Subject to your compliance
with these Terms, Paydoly grants you a limited, non
exclusive, non transferable, and revocable license to use
the Services and access content for personal or internal
business purposes. This license does not include any right
to reproduce, modify, distribute, or create derivative works
from the content.

User Content: If you post, upload, or
transmit any content (such as text, images, or data) through
the Service, you grant Paydoly a non exclusive, worldwide,
royalty free license to use, display, reproduce, and
distribute that content for the purpose of providing the
Service. You represent that you have the right to grant this
license and that your content does not infringe any third
party rights.

Third Party IP: The Services may include
references or links to third party trademarks, names, or
content. Such references do not imply endorsement or
sponsorship by Paydoly. All third party intellectual
property rights remain the property of their respective
owners.
8. Privacy and Data Protection

Use of Your Data: Your personal information
is collected, used, and protected in accordance with our
Privacy Policy. Please read the Privacy Policy for more
detail on how we handle your data.

Sharing of Data: We may share your
information with third party service providers or partners
who help us operate the Services (such as payment processors
or identity verification services), but only to the extent
necessary to provide the Service. We will not sell your
personal data to third parties for their own marketing.

Cross Border Data: Your data may be
transferred to and processed in countries other than your
own. We take steps to ensure such transfers comply with
applicable privacy laws and that your information remains
protected.

User Responsibilities: You are responsible
for maintaining the confidentiality of any personal data you
access through the Service (for example, if you receive
another user’s information). You must use such information
only for lawful purposes and in accordance with these Terms.

Data Retention: We retain personal data for
as long as necessary to fulfill the purposes described in
our Privacy Policy or as required by law. You may request
deletion of your data, subject to legal or regulatory
requirements.
9. Third Party Services and Links

No Endorsement: Paydoly may provide links
to or integrations with third party websites, services, or
content. These links are provided for convenience and do not
constitute endorsement or sponsorship by Paydoly.

Third Party Terms: When you use third party
services, you may be subject to their own terms and
policies. Paydoly is not responsible for the content,
privacy practices, or security of third party services.

No Liability: Paydoly does not guarantee
the accuracy, completeness, or usefulness of any third party
content or services. Your use of third party services is at
your own risk, and Paydoly disclaims any liability arising
from such use.

Third Party Content: Any third party
content (such as articles, information, or opinions)
accessed through the Services is provided as is for
informational purposes only. Paydoly is not responsible for
verifying the accuracy of third party content and does not
endorse it.
10. Disclaimers of Warranty
The Services are provided on an “as is” and “as available”
basis. To the fullest extent permitted by law, Paydoly
disclaims all warranties of any kind, whether express or
implied, including but not limited to implied warranties of
merchantability, fitness for a particular purpose, and non
infringement. Paydoly makes no warranty that the Services will
meet your requirements or be available without interruption,
timely, secure, or error free. Paydoly does not warrant the
accuracy or reliability of any information obtained through
the Services. The Services may contain beta or experimental
features that are provided for testing and feedback purposes
only, and we make no guarantees about their performance or
accuracy.
11. Limitation of Liability
To the fullest extent permitted by law, Paydoly shall not be
liable for any indirect, incidental, special, consequential,
or punitive damages, or any loss of profits, revenue, data, or
business opportunities, arising out of or related to your use
of the Services, whether in contract, tort, negligence, strict
liability, or otherwise. In no event shall Paydoly’s total
liability to you for any claim arising out of or relating to
these Terms or the Services exceed the amount of fees you paid
to Paydoly for the Service in the 3 months immediately
preceding the event giving rise to the claim, or US $100 (or
equivalent in local currency), whichever is greater. This
limitation of liability is cumulative and not per incident.
User’s Own Actions: Paydoly is not liable for
your own actions or omissions. You are solely responsible for
the consequences of your decisions when using the Services –
for example, sending a payment to the wrong person or failing
to comply with law when using Paydoly.
No Liability for Third Party Services: Any
disputes you have with others (including recipients of funds,
or providers of goods or services you pay using our Service)
must be resolved directly with those parties. Paydoly is not
responsible for any underlying commercial transaction between
you and a third party, even if you used Paydoly to facilitate
payment. Similarly, any issues arising from third party banks
or networks (such as delays in ACH or wire processing) are
outside of our control and liability.
12. Indemnification
You agree to indemnify, defend, and hold harmless Paydoly, its
affiliates, officers, directors, employees, and agents from
and against any claims, damages, losses, liabilities, and
expenses (including reasonable attorneys’ fees) arising out of
or related to:
- Your Use of the Services
- Your Breach
- Illegal or Wrongful Acts
- Third Party Rights
13. Suspension and Termination

By You (Termination): You may close your
Paydoly account at any time if you no longer wish to use our
Services. You can do this by following the account closure
instructions provided on our website or app. Account closure
is effective after we process your request. Upon closure,
you must cease using the Services. Any pending transactions
prior to closure may be canceled, and any remaining balance
belonging to you will be handled in accordance with our
policies (for example, refunded to your linked bank or card,
subject to verification and legal compliance). Closing your
account does not immediately delete all your data – we will
retain and use data as required for legal compliance and
internal purposes (see Privacy Policy).

By Us (Suspension or Termination): We
reserve the right to suspend, limit, or terminate your
account or access to the Services at our discretion, with or
without notice, if we suspect that: (a) you have violated
any of these Terms or any applicable law; (b) you have
engaged or are likely to engage in any fraudulent,
dishonest, or illegal activities; (c) you have provided
false or misleading information or refused to provide
information we require; (d) you are infringing on third
party rights or exposing us to legal liability; or (e) your
use of the Services is causing harm to others or to our
platform (e.g., by hacking attempts, abuse, or causing undue
strain on our infrastructure). We may also suspend your
account if required by court order, law enforcement, or
regulatory request, or during investigation of a suspected
violation or security issue.

Effect of Suspension or Termination: In the
event your account is suspended or terminated by us, we will
attempt to notify you (unless legally prohibited). During
suspension, you may not be able to initiate new transactions
or access certain features, but you may be allowed to log in
to view your account or contact support. If your account is
terminated, your right to use the Services ceases
immediately. We may cancel any open transactions and attempt
to return any funds associated with your wallet to their
source (minus any fees or amounts owed to Paydoly, which may
be deducted). Any funds that cannot be returned (for
example, if regulations require us to hold or surrender
them) will be handled in accordance with applicable laws
(such as escheatment laws for unclaimed property).
Termination of your account will not affect any rights or
obligations incurred prior to the termination.

Appeal and Reinstatement: If you believe
your account was suspended or terminated in error, you may
contact us to request a review. We may, in our sole
discretion, restore access to your account if we determine
appropriate after such review. However, we are under no
obligation to reinstate accounts that were terminated for
cause.

Survival: Any provisions of these Terms
that by their nature should survive termination (such as
indemnification, limitations of liability, governing law,
etc.) will remain in effect even after your access to the
Services has been terminated.
14. Governing Law, Jurisdiction, Arbitration, Class Action
Waiver, and U.S. Operational Limitations
14.1 Governing Law: These Terms are governed
by and shall be construed in accordance with the laws of the
State of Georgia, USA, without regard to its conflicts of law
rules. For users located in the Dominican Republic, local laws
will apply to any transactions or matters occurring within
that jurisdiction.
14.2 Jurisdiction and Venue: For U.S. users,
you agree that any dispute, claim, or controversy arising from
or relating to these Terms or the Services (collectively,
“Disputes”) shall be resolved exclusively by the state or
federal courts located in Fulton County, Georgia. For
Dominican users, Disputes shall be resolved in the competent
courts of the Dominican Republic.
14.3 Arbitration Agreement: Except for claims
seeking injunctive or equitable relief, any Dispute between
you and Paydoly arising out of or relating to these Terms or
the Services shall be resolved by binding arbitration
administered by the American Arbitration Association (AAA)
under its rules. The arbitration shall take place in Atlanta,
Georgia, USA, or another mutually agreed location. The
arbitrator’s decision shall be final and binding, and judgment
may be entered in any court of competent jurisdiction.
You acknowledge and agree that arbitration shall be conducted
on an individual basis only, and not in a class, collective,
consolidated, or representative proceeding. Nothing in this
Section shall preclude Paydoly from seeking injunctive or
other equitable relief in any court of competent jurisdiction
to protect its rights or interests pending arbitration.
14.4 Arbitration Opt Out: You may elect to
opt out of the arbitration agreement set forth in Section 14.3
by submitting a written notice to Paydoly within thirty (30)
days of the date you first accept these Terms. The notice must
include your full name, address, email associated with your
Paydoly account, and a clear statement that you wish to opt
out of the arbitration agreement. Opt out notices must be sent
to: legal@paydoly.com.
If you opt out of arbitration, you agree to resolve any
Disputes exclusively in the courts identified in Section 14.2.
14.5 Dominican Republic Dispute Resolution:
In the event a Dispute arises in the Dominican Republic and
arbitration is not applicable or permitted under local law,
you agree to first provide Paydoly with written notice of the
Dispute and allow Paydoly a reasonable opportunity to resolve
the matter informally. If the parties are unable to reach a
resolution within a reasonable period, such Dispute shall be
submitted to the competent courts of the Dominican Republic.
14.6 Class Action Waiver: To the fullest
extent permitted by applicable law, you and Paydoly waive any
right to bring or participate in any class, collective,
consolidated, or representative action, whether in arbitration
or in court. All claims and disputes between the parties must
be adjudicated or arbitrated on an individual basis. If the
class action waiver is found to be unenforceable, the
arbitration agreement in Section 14.3 shall be null and void,
and any such Dispute shall be resolved exclusively in the
courts identified in Section 14.2.
14.7 U.S. Operational Limitations: Paydoly
Inc. is registered as a Money Services Business (MSB) with
FinCEN for the limited purpose of handling U.S. dollar wallet
functionality. Paydoly does not currently maintain physical
operations in the United States and does not hold Money
Transmitter Licenses (MTLs) in all states. Accordingly, U.S.
based users are prohibited from sending or receiving funds
through the Paydoly platform at this time. The Services are
not available for transactional use within the United States,
and any attempt to use the platform for such purposes is
strictly prohibited and may result in account suspension or
termination.
14.8 State Specific Restrictions – California
Users:
Due to regulatory requirements and Paydoly’s current licensing
status, the Services are not offered to residents of the State
of California. By accepting these Terms, you represent and
warrant that you are not a resident of California and will not
access or use the Services from within California. Any such
use shall be deemed a material breach of these Terms and may
result in immediate account suspension or termination.
14.9 Consumer Protection: Nothing in this
Section shall be construed to limit any non waivable rights
you may have under applicable consumer protection laws. To the
extent mandatory local law requires the application of certain
dispute resolution mechanisms or consumer protections, such
provisions shall apply to the extent they are not inconsistent
with this Section.
15. Changes to Terms
Paydoly may modify or update these Terms from time to time. If
we make material changes, we will notify you by updating the
“Effective Date” at the top of the Terms and, in some cases,
we may provide additional prominent notice (such as via email
or in app notification).

Notice and Acceptance of Changes: Changes
will typically become effective 30 days after we post the
revised Terms or provide notice, unless a shorter period is
required to comply with legal requirements. We will indicate
the effective date of the updated Terms. Your continued use
of the Services after the effective date of the changes
constitutes your acceptance of the revised Terms. If you do
not agree with the changes, you must stop using the Services
and may close your account before the changes take effect.

Non Material Changes: Non material changes
(such as minor textual edits, clarifications, or updates
that do not reduce your rights) may become effective
immediately upon posting. We encourage you to review these
Terms periodically for any changes.

Policy Updates: Sometimes we may need to
update other policies (like the Privacy Policy, or specific
service terms). We will handle those updates as described in
the respective policy (often similarly requiring notice and
acceptance).

Archived Versions: For your convenience, we
may maintain prior versions of these Terms or a summary of
changes on our website. If you have any questions about a
change, please contact us for clarification.
16. Miscellaneous Provisions

Entire Agreement: These Terms (along with
any documents incorporated by reference, such as the Privacy
Policy and any applicable addenda or service specific
agreements) constitute the entire agreement between you and
Paydoly regarding the Services, and supersede all prior and
contemporaneous understandings, agreements, representations,
and warranties, both written and oral, regarding the
Services.

No Waiver: Our failure to enforce any right
or provision of these Terms will not be considered a waiver
of that right or provision. No waiver of any term shall be
deemed a further or continuing waiver of such term or any
other term.

Severability: If any provision of these
Terms is held to be invalid, illegal, or unenforceable by a
court of competent jurisdiction, that provision shall be
enforced to the maximum extent permissible and the remaining

Paydoly. We are an independent contractor for all purposes.
You have no authority to bind Paydoly or to incur any
obligation on Paydoly’s behalf.

for the benefit of you and Paydoly only, and except as
expressly provided herein, they are not intended to confer
any rights or remedies on any third party (except that
Paydoly’s affiliates and subsidiaries are deemed third party
beneficiaries of these Terms, with the right to enforce the
provisions that confer benefits or protections on them).
